SIA Clean R has submitted a report to the Competition Council on the merger with SIA Ķilupe

Waste management company SIA Clean R has submitted a report to the Competition Council on the merger, in connection with a transaction under which Clean R plans to acquire 100% of SIA Ķilupe’s capital, Clean R informed.

Clean R explains in its report to the Competition Council that the purpose of the merger transaction is to ensure a more efficient and sustainable waste management system in Latvia. In the transaction, Clean R, as a national company, gains the opportunity to strengthen its positions in the markets of Ogre and the nearest municipalities, while maintaining the local management and service specifics that Ķilupe has provided so far. This synergy combines the efficiency of Clean R with the local competence of SIA Ķilupe, creating additional benefits for customers and society as a whole.

The company also indicates that the merger is expected to have only a limited impact on market conditions, as the activities of Clean R and Ķilupe, as direct competitors, have overlapped only to an insignificant extent. At the same time, the company does not expect the transaction to create significant risks to the activities of other market participants in the waste management markets or otherwise restrict competition.

The company emphasizes that the transaction will enable improved efficiency, expanded service offerings, and infrastructure development.

SIA Ķilupe has been operating since 1988 and provides waste management services in the Ogre and Aizkraukle regions. In 2023, the company’s turnover reached 4.705 million euros, and profit was 9,272 euros. In May 2025, Clean R acquired a 41.25% share in SIA Ķilupe.

In 2024, Clean R had a turnover of 52.752 million euros and a profit of 8.698 million euros. The company is wholly owned by AS CleanR Grupa.
